Terms of Service

1. Acceptance of Terms

By accessing or using the Autophile mobile application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Autophile Ltd ("Autophile," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

Autophile is a platform that connects car owners with automotive service providers. We facilitate:

• Discovery of automotive service providers in your area
• Booking and scheduling of automotive services
• Payment processing for services
• Communication between users and service providers
• Reviews and ratings of services and providers

Autophile acts as an intermediary platform. We do not provide automotive services directly, nor do we employ or control the service providers who use our platform.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity

4. User Responsibilities and Acceptable Use

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or inappropriate content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission
• Collect or harvest information about other users
• Engage in any fraudulent or deceptive practices

4.2 User-Generated Content

You are solely responsible for any content you post, including reviews, ratings, messages, and photos. You represent and warrant that:

• You own or have the right to post such content
• Your content does not violate any third-party rights
• Your content is accurate and not misleading
• Your content complies with all applicable laws

We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

5. Service Provider Relationships

5.1 Independent Contractors

Service providers listed on Autophile are independent contractors, not employees or agents of Autophile. We are not responsible for:

• The quality, safety, or legality of services provided
• The accuracy of information provided by service providers
• The ability of service providers to complete services
• Any disputes between users and service providers

5.2 Service Bookings

When you book a service through Autophile:

• You enter into a direct agreement with the service provider
• Autophile facilitates the transaction but is not a party to the service agreement
• Service providers are responsible for their own insurance, licensing, and compliance
• You are responsible for verifying the credentials and qualifications of service providers

6. Payments and Fees

6.1 Payment Processing

Payments for services are processed through secure third-party payment processors. By making a payment, you agree to:

• Provide accurate payment information
• Authorize charges for services you book
• Pay all applicable fees and taxes

6.2 Service Fees

Autophile may charge platform fees for facilitating transactions. These fees will be clearly disclosed before you complete a booking. Service providers set their own service prices, which may be subject to change.

6.3 Refunds

Refund policies are determined by individual service providers and are subject to our Refund Policy (see Support & Refund Policy). Autophile may facilitate refunds in accordance with our policies and applicable law.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, functionality, and content, is owned by Autophile and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks or logos without permission
• Remove any copyright or proprietary notices

7.2 Your Content License

By posting content on the Service, you grant Autophile a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute your content for the purpose of operating and promoting the Service.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of information
• Warranties regarding the quality of services provided by service providers

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOPHILE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Damages resulting from services provided by service providers
• Damages resulting from unauthorized access to or alteration of your data

Our total liability shall not exceed the amount you paid to Autophile in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Autophile, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct

10. Dispute Resolution

10.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at support@autophile.app to attempt to resolve any disputes informally.

10.2 Binding Arbitration

If informal resolution is unsuccessful, any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration organization, rather than in court.

10.3 Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action or representative proceeding.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of the United Kingdom.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you a notification through the app or email

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the app settings.

13.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including violation of these Terms.

13.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that by their nature should survive termination will remain in effect

14. Apple App Store Terms

If you downloaded the Autophile app from the Apple App Store, the following additional terms apply:

• These Terms are between you and Autophile, not Apple
• Apple is not responsible for the app or its content
• Apple has no obligation to provide support or maintenance
• In the event of app failure, Apple has no warranty obligation
• Apple is a third-party beneficiary of these Terms

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Autophile regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
